These Terms and Conditions (“Terms”) govern your access to and use of the services provided by TrainMyAgent (“Company,” “we,” “our,” or “us”), including the deployment and support of custom enterprise AI agents (the “Service”). By accessing or using our Service, you agree to be bound by these Terms.

 

1. Services Provided

TrainMyAgent builds, deploys, and maintains AI-powered agents designed to operate securely within your infrastructure or an isolated cloud environment provisioned for you. Services include custom integration, prototyping, ongoing support, and performance optimization as outlined on our website or in any applicable Order Form or Statement of Work (“SOW”).

 

2. Client Responsibilities

You are responsible for:

  • Providing timely access to internal systems, stakeholders, and data sources as needed for integration.
  • Maintaining appropriate access controls, permissions, and credentials for secure deployment.
  • Ensuring any provided content, data, or instructions comply with applicable laws and do not infringe on third-party rights.

 

3. Data Ownership & Privacy

You retain full ownership of all data inputs, embeddings, and AI-generated outputs processed through your agent. TrainMyAgent does not use your data for model training or other clients.

All agent deployments follow a strict least-privilege access model and inherit your organization’s security controls. Data is processed solely for the purpose of executing your workflows.

4. Fees and Payment

Fees are defined by your selected pricing tier or any custom agreement. You agree to pay applicable one-time build fees and monthly recurring charges (MRR). All fees are non-refundable unless stated otherwise in writing.

Overages do not apply; your subscription covers hosting, updates, and support as listed in your plan. Any additional scope of work will be quoted and billed separately.

 

5. Intellectual Property

TrainMyAgent retains all rights to the underlying platform, methodologies, and tooling used to build and maintain your agent. Any custom configurations or logic unique to your deployment may be reused in anonymized or generalized form for platform improvement, unless otherwise agreed.

 

6. Service Levels and Support

We provide business-hours help desk support with optional 24/7 and SLA-backed support available for Enterprise plans. Minor adjustments and retraining are included in your subscription. Major changes may require a new SOW and additional fees.

 

7. Confidentiality

Each party agrees to maintain the confidentiality of any proprietary or sensitive information disclosed during the engagement. Confidential information does not include information that is publicly available or independently developed.

 

8. Limitations of Liability

To the fullest extent permitted by law, TrainMyAgent shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from or related to the use of the Service.

Our total liability for any claim under these Terms shall not exceed the total amount paid by you in the twelve (12) months prior to the event giving rise to the claim.

 

9. Termination

You may cancel your subscription with 30 days’ written notice. We may terminate your access to the Service for material breach not cured within 10 business days. Upon termination, your agent will be decommissioned, and any data still hosted in our managed cloud will be deleted within 30 days.

 

10. Governing Law

These Terms are governed by and construed in accordance with the laws of [Insert State/Country], without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in [Insert Jurisdiction].

 

11. Changes to Terms

We may update these Terms from time to time. If we make material changes, we’ll notify you via email or through the Service. Continued use after changes go into effect constitutes your acceptance of the new Terms.
